New Name to Reflect Broader Role

Wandandian & District Community AssociationSPECIAL RESOLUTION UNANIMOUS VOTE 

At its meeting on Tuesday 7th April, members of Wandandian Progress Association Inc voted to officially change its name to Wandandian & District Community Association Inc, marking an important milestone in the organisation’s ongoing commitment to serving the wider local area.

The new name reflects the association’s evolution over time and its expanding role in supporting not only Wandandian itself, but also neighbouring communities across the district. While the name has changed, the association’s core purpose remains the same: to advocate for, connect, and strengthen the local community. Public Officer of the association, Anne Simpson, said the change better represents who the organisation is today.

“Our activities, membership and partnerships now extend well beyond the original township boundaries. The new name recognises the broader district we support and reflects the inclusive, community focused approach we’ve always taken.”

The association has a long history of volunteering, community events, local advocacy and collaboration with residents, businesses and government. The updated name is intended to provide clarity, strengthen recognition, and support future growth.

Importantly, the organisation’s legal status, structure and ongoing projects remain unchanged.
“This is about ensuring our name clearly communicates our role and invites participation from across the district,” Anne said. “We look forward to continuing our work with renewed clarity and shared purpose.”

NOTICE OF GENERAL MEETING

Notice is hereby given that a General Meeting of Wandandian Progress Association Incorporated will be held as follows:

Wandandian.

Business of the Meeting

The business of the meeting will include consideration of the two Special Resolutions listed below and will be followed by the normal monthly meeting of the Association.

Special Resolution 1– Change of Name

Special Resolution

That, pursuant to the Associations Incorporation Act 2009 (NSW), the name of the incorporated association be changed from:

Wandandian Progress Association Inc.

to:

Wandandian & District Community Association Inc.

This resolution is intended to be passed as a special resolution.

Special Resolution 2– Replacement of Constitution

That, pursuant to the Associations Incorporation Act 2009 (NSW), the members of Wandandian Progress Association Inc:

  1. repeal the existing Constitution of the Association, originally adopted upon incorporation in 1987, in its entirety; and
  2. adopt the document attached to the Notice of Meeting and marked “Annexure A” as the Constitution of the Association, 

it being an amended version of the NSW Fair Trading Model Constitutionwith effect from the date this special resolution is passed.

Members are advised that the special resolutions will be passed only if supported by at least 75% of the votes cast by members entitled to vote, in accordance with the Associations Incorporation Act 2009 (NSW).

A copy of the proposed new constitution is attached to this notice.

Background to the Special Resolution
(Explanatory Statement)

Wandandian Progress Association was incorporated in 1987, and the current constitution has been in effect since that time. Since the Association’s incorporation, there have been significant changes to the law governing incorporated associations in New South Wales, including the commencement of the Associations Incorporation Act 2009 (NSW) and the introduction of updated regulations and a revised NSW Model Constitution.

The Committee has reviewed the Association’s existing constitution and identified that it no longer reflects current legislative requirements or contemporary governance practices. In some areas, provisions of the NSW Model Constitution may currently apply by operation of law where the existing constitution is silent.

The new constitution will provide more protection from personal litigation for members.

The Committee therefore recommends the adoption of a new constitution that modernises the Association’s governance framework while maintaining its existing purpose and not?for?profit nature. A copy of the proposed constitution accompanies this notice, and members are encouraged to review it prior to the meeting.
