NOTICE OF ANNUAL GENERAL MEETING
The Annual General Meeting (AGM) of the Wandandian & District Community Association Inc will be held:
Date: Tuesday, 7 July 2026
Time: 6:00 pm
Venue: Wandandian Hall
The AGM will be followed by the monthly Ordinary Meeting.
Purpose of the Meeting
Members and visitors will have the opportunity to:
- Learn about the Association’s operations and financial performance
- Ask questions regarding the reports and activities of the Association
- Raise matters for discussion
- Vote on resolutions presented at the meeting
Business of the AGM
At the meeting, members will be asked to consider and, where appropriate, vote on the following:
- Confirmation of the minutes of the previous Annual General Meeting
- Acceptance of the Annual Report
- Acceptance of the Auditor’s Report
- Adoption of the Annual Financial Statements
- Appointment and remuneration of the Auditor
- Election of the Committee for the 2026–2027 term
Committee Nominations
All committee positions will be declared vacant and are open for nomination.
As per the constitution of the Association only financial members will be able to vote. Annual fees of $10.00 per family are due on 1st July 2025. Membership forms are available from the secretary@wandandian.org.au , https://wandandian.org.au/membership-2/ and will also be available at the AGM. Members are encouraged to consider nominating for a position. Nominations must be submitted in writing using the official nomination form and must include:
- A proposer and seconder
- Signed consent from the nominee

New Name to Reflect Broader Role
SPECIAL RESOLUTION UNANIMOUS VOTE
At its meeting on Tuesday 7th April, members of Wandandian Progress Association Inc voted to officially change its name to Wandandian & District Community Association Inc, marking an important milestone in the organisation’s ongoing commitment to serving the wider local area.
The new name reflects the association’s evolution over time and its expanding role in supporting not only Wandandian itself, but also neighbouring communities across the district. While the name has changed, the association’s core purpose remains the same: to advocate for, connect, and strengthen the local community. Public Officer of the association, Anne Simpson, said the change better represents who the organisation is today.
“Our activities, membership and partnerships now extend well beyond the original township boundaries. The new name recognises the broader district we support and reflects the inclusive, community focused approach we’ve always taken.”
The association has a long history of volunteering, community events, local advocacy and collaboration with residents, businesses and government. The updated name is intended to provide clarity, strengthen recognition, and support future growth.
Importantly, the organisation’s legal status, structure and ongoing projects remain unchanged.
“This is about ensuring our name clearly communicates our role and invites participation from across the district,” Anne said. “We look forward to continuing our work with renewed clarity and shared purpose.”

Notice is hereby given that a General Meeting of Wandandian Progress Association Incorporated will be held as follows:

Business of the Meeting
The business of the meeting will include consideration of the two Special Resolutions listed below and will be followed by the normal monthly meeting of the Association.
Special Resolution 1– Change of Name
Special Resolution
That, pursuant to the Associations Incorporation Act 2009 (NSW), the name of the incorporated association be changed from:
Wandandian Progress Association Inc.
to:
Wandandian & District Community Association Inc.
This resolution is intended to be passed as a special resolution.
Special Resolution 2– Replacement of Constitution
That, pursuant to the Associations Incorporation Act 2009 (NSW), the members of Wandandian Progress Association Inc:
- repeal the existing Constitution of the Association, originally adopted upon incorporation in 1987, in its entirety; and
- adopt the document attached to the Notice of Meeting and marked “Annexure A” as the Constitution of the Association,
it being an amended version of the NSW Fair Trading Model Constitution, with effect from the date this special resolution is passed.
Members are advised that the special resolutions will be passed only if supported by at least 75% of the votes cast by members entitled to vote, in accordance with the Associations Incorporation Act 2009 (NSW).
A copy of the proposed new constitution is attached to this notice.

Background to the Special Resolution
(Explanatory Statement)
Wandandian Progress Association was incorporated in 1987, and the current constitution has been in effect since that time. Since the Association’s incorporation, there have been significant changes to the law governing incorporated associations in New South Wales, including the commencement of the Associations Incorporation Act 2009 (NSW) and the introduction of updated regulations and a revised NSW Model Constitution.
The Committee has reviewed the Association’s existing constitution and identified that it no longer reflects current legislative requirements or contemporary governance practices. In some areas, provisions of the NSW Model Constitution may currently apply by operation of law where the existing constitution is silent.
The new constitution will provide more protection from personal litigation for members.
The Committee therefore recommends the adoption of a new constitution that modernises the Association’s governance framework while maintaining its existing purpose and not?for?profit nature. A copy of the proposed constitution accompanies this notice, and members are encouraged to review it prior to the meeting.

EXPO Change of Date
Due to circumstances beyond our control the 2025
Wandandian Woodchop and Community Expo will now be held on 30th November.
We look forward to seeing everyone then.

Community Infrastructure Strategic Plan Review Workshops
Shoalhaven City Council recently hosted four community workshops regarding the Community Infrastructure Strategic Plan (CISP) Review, two in St Georges Basin and two in Bomaderry. The final two workshops will be held in Ulladulla in late June 2025.
Gillian Smith represented Wandandian Progress Association at the workshop held at St Georges Basin on 28th May 2025.
84 people have attended the four workshops undertaken so far and Council has provided some feedback from the sessions (outlined below).
So far, feedback has varied from workshop to workshop – each session has provided distinct preferences and feedback. Workshop participants have underscored the importance of having spaces and places – to meet, gather, experience art and culture, connect with community, and engage in sport and physical activity – for community health and wellbeing. Maintenance and ease of access to community facilities were mentioned regularly. Some workshop participants are interested in ways to partner with Council to deliver upgrades at their favourite community facility.
All of the feedback provided by workshop attendees will be analysed in detail by the project team once all engagement activities are completed at the end of June 2025.
What to expect next
May-June 2025
The current round of community engagement activities was launched on 12 May and will close on 30 June 2025. Two stakeholder workshops and two focus groups for people living with a disability will be held later this month. Pop-up engagement activities are scheduled for a range of community events. We encourage you to share links to our surveys with your clubs, organisations, or networks. The more feedback we receive, the better we can plan for community places and spaces in the Shoalhaven.
Survey 1 – Share feedback on all community facilities across Shoalhaven City
Survey 2 – Express your thoughts about your favourite community facility or the one you use most often.
A summary of all feedback received will be provided to Council and published on our website (anticipated July-August 2025). All feedback received from the workshops will be de-identified, meaning that feedback will remain anonymous. Council will provide Wandandian Progress Association with a direct link when the community engagement summary report is published.
Draft CISP
Feedback received during the May-June 2025 engagement period, including workshops, surveys, pop-ups, focus groups, and direct submissions – will be considered by the project team and processed as an input to draft CISP findings and recommendations. The draft CISP will be released for public exhibition (anticipated February 2026). We will email you a direct link to the document at the commencement of the public exhibition period and ensure you are invited to any additional workshops held during this time.
